Terms of Service.

These Terms of Service (“Terms”) govern your access to and use of CodePulse.

CodePulse is a software product owned and operated by Solution Bowl (India) Private Limited, a private limited company registered in India. The company’s GST registration confirms the legal entity name as Solution Bowl (India) Private Limited and its principal place of business in Gurugram, Haryana.

By creating an account, purchasing a subscription, connecting a repository, or otherwise accessing or using CodePulse, you agree to these Terms.

About CodePulse

CodePulse is an AI-assisted software engineering intelligence and code-health platform.

Depending on the applicable plan and available functionality, CodePulse may provide features including:

repository and commit analysis;

code-quality analysis;

code-health scoring;

identification of potential bugs and technical issues;

security-risk identification;

maintainability insights;

technical-debt analysis;

commit-level and branch-level analysis;

AI-generated engineering summaries;

remediation recommendations;

AI-assisted fix prompts;

developer and engineering metrics;

engineering dashboards;

project and sprint-level insights;

downloadable or exportable reports;

organisation and team management; and

related software-engineering intelligence functionality.

Features may vary by plan and may be modified, enhanced, replaced, or discontinued as the platform evolves.

Eligibility and Authority

You must have the legal capacity to enter into a binding agreement to use CodePulse.

If you access or use CodePulse on behalf of a company, organisation, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

In such cases, references to “you” and “your” include the relevant organisation.

Account Registration

Certain CodePulse features may require you to create an account.

You agree to:

provide accurate and complete information;

maintain updated account information;

keep login credentials confidential;

prevent unauthorised access to your account;

promptly notify us if you become aware of suspected unauthorised access; and

accept responsibility for activities conducted through your account, subject to applicable law.

You must not share account credentials in a way that bypasses applicable subscription, seat, user, or access restrictions.

Organisation and User Access

CodePulse may allow organisations to invite multiple users and assign different permissions or roles.

The organisation is responsible for:

deciding who may access its CodePulse account;

assigning appropriate roles;

removing access when a user no longer requires it;

ensuring users are authorised to access connected repositories; and

monitoring use of the organisation account.

CodePulse may provide different levels of access depending on the user's assigned role.

Repository Connection and Authorisation

CodePulse may allow authorised users to connect source-code repositories or development platforms.

You may only connect repositories, projects, branches, codebases, or development environments that you:

own;

control; or

are legally authorised to access and analyse.

By connecting a repository, you grant CodePulse and Solution Bowl (India) Private Limited a limited, non-exclusive, revocable right to access and process the authorised repository information only as reasonably necessary to provide the CodePulse Services.

This permission does not transfer ownership of your source code or repositories to CodePulse or Solution Bowl.

Customer Data and Intellectual Property

You retain ownership of all rights you hold in your:

source code;

repositories;

commits;

files;

proprietary software;

documentation;

technical architecture;

project information;

business information; and

other data submitted, connected, or made available through CodePulse.

Collectively, this information may be referred to as “Customer Data.”

You grant us only the limited rights required to process Customer Data for the purpose of operating, maintaining, supporting, securing, and providing CodePulse.

Unless separately agreed in writing, we do not acquire ownership of Customer Data.

CodePulse Intellectual Property

CodePulse and its related intellectual property are owned by Solution Bowl (India) Private Limited and/or its applicable licensors.

This includes, where applicable:

software;

platform architecture;

algorithms;

workflows;

dashboards;

scoring methodologies;

reports and report formats;

interfaces;

databases;

branding;

trademarks;

designs;

documentation; and

underlying technology.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use CodePulse for your internal business or professional purposes during your authorised subscription period.

Except where expressly permitted, you may not:

copy CodePulse;

reproduce or redistribute it;

sell or sublicense access;

reverse engineer it;

attempt to derive underlying source code;

commercially exploit CodePulse technology;

remove proprietary notices; or

create derivative commercial services based substantially on CodePulse.

This restriction applies except where applicable law expressly provides otherwise.

AI-Assisted Analysis

CodePulse may use artificial intelligence, machine learning, automated analysis, rules-based analysis, or a combination of these technologies.

CodePulse may use authorised code, code changes, repository context, commit information, and related technical data to generate:

findings;

scores;

summaries;

warnings;

recommendations;

code-health assessments;

remediation suggestions; and

other engineering insights.

Such outputs are intended to assist software-development and engineering teams.

No Guarantee of Bug-Free or Secure Code

CodePulse is an engineering-support and decision-assistance tool.

CodePulse does not guarantee that:

every bug will be identified;

every defect will be detected;

every vulnerability will be discovered;

every warning will be accurate;

every recommendation will be suitable for your specific software;

code receiving a favourable CodePulse score is bug-free;

code receiving a favourable score is secure;

software is production-ready solely because it passes CodePulse checks; or

implementing a CodePulse recommendation will necessarily resolve an issue.

Software quality and security depend on multiple factors and require appropriate human engineering review, testing, quality assurance, security assessment, and professional judgement.

Review Before Implementing Recommendations

AI-generated or automated recommendations may occasionally be incomplete, incorrect, outdated, or unsuitable for a particular technical environment.

You are responsible for reviewing and testing any suggested change before applying it to:

source code;

production systems;

databases;

infrastructure;

cloud environments; or

customer-facing systems.

You should maintain appropriate development, testing, backup, version-control, and deployment practices.

Code Modification and Deployment

Where CodePulse generates code suggestions, fix prompts, remediation guidance, or similar outputs, such outputs are intended for review by authorised users.

Unless a specific CodePulse feature expressly states otherwise, CodePulse does not independently deploy changes into your production systems.

You remain responsible for approving, testing, committing, merging, and deploying changes.

Acceptable Use

You must not use CodePulse to:

access or analyse repositories without proper authorisation;

process stolen or unlawfully obtained code;

violate third-party intellectual-property rights;

introduce malware or harmful software into CodePulse;

interfere with CodePulse systems or infrastructure;

attempt to gain unauthorised access to another user's or organisation's data;

bypass account or security restrictions;

probe, scan, or test CodePulse systems for vulnerabilities without written permission;

reverse engineer the platform except where legally permitted;

use CodePulse for illegal activities;

impersonate another person or organisation;

misuse APIs, integrations, or authentication mechanisms; or

use CodePulse in a way that may damage, overload, disrupt, or compromise the Services.

We may suspend or restrict access where we reasonably believe the Services are being misused.

Subscription Plans

CodePulse may offer different subscription plans.

Plans may vary in relation to:

number of repositories;

number of users;

analysis volume;

projects;

features;

reports;

AI usage;

support levels;

integrations;

retention periods; or

other usage entitlements.

The plan description displayed when you purchase or subscribe forms part of your agreement with us.

Pricing and Taxes

Pricing applicable to CodePulse will be displayed on the website, checkout page, proposal, order form, or other relevant commercial communication.

Prices may be offered in INR, USD, or other supported currencies.

Applicable taxes, including GST where required, may be charged in addition to the displayed price.

Solution Bowl (India) Private Limited is registered under GST with GSTIN 06AAYCS5745D1ZW.

Payments

Payments for CodePulse may be processed through an authorised third-party payment gateway or payment service provider.

By making a payment, you authorise the relevant payment processor to process the transaction.

CodePulse or Solution Bowl may receive information such as:

payment status;

transaction reference;

billing information;

invoice details; and

subscription information.

Payment processors may separately process payment-card, banking, or authentication information under their own terms and privacy policies.

Failed Payments

Where a payment fails, is reversed, disputed, declined, or remains outstanding, we may:

restrict access to paid functionality;

suspend the applicable subscription;

request an alternative payment method; or

take other reasonable steps to recover an undisputed amount due.

Access may be restored after successful payment.

Subscription Renewal

CodePulse subscriptions are offered on an auto-renewing basis, unless otherwise stated for a particular plan or enterprise agreement.

By purchasing a recurring CodePulse subscription, you authorise CodePulse, operated by Solution Bowl (India) Private Limited, and its authorised payment service provider to automatically charge the applicable subscription fee, along with applicable taxes, to your selected payment method at the beginning of each new billing cycle.

Depending on the plan selected, the billing cycle may be monthly, annual, or another period clearly disclosed at the time of purchase.

Your subscription will continue to renew automatically until cancelled. By subscribing, you expressly authorise recurring charges to your selected payment method at the frequency and price disclosed at checkout, until you cancel your subscription.

Renewal Charges

At each renewal, the payment method associated with your account will be charged the applicable subscription fee and taxes.

If we materially change the price of your subscription, we will provide reasonable notice before the revised price applies to a subsequent renewal, where required by applicable law.

Cancelling Auto-Renewal

You may cancel your subscription or disable future renewal through the available account/subscription settings or by contacting us at:

Cancellation must be completed before the applicable renewal is processed to avoid being charged for the next billing cycle.

After cancellation, you may continue to access the paid features of CodePulse until the end of your current paid subscription period, unless otherwise stated for your plan or required for security, legal, or policy reasons.

Your subscription will not renew for the next billing period after a valid cancellation has taken effect.

Failed Renewal Payments

If an automatic renewal payment fails, we may:

retry the payment through the authorised payment provider;

notify you and request an updated payment method;

temporarily restrict access to paid features; or

suspend or downgrade the subscription if payment remains unsuccessful.

Refunds After Renewal

Cancellation of a subscription does not automatically entitle the customer to a refund for a renewal payment that has already been successfully processed.

Any refund request will be handled in accordance with the CodePulse Refund & Cancellation Policy and applicable law.

Enterprise Subscriptions

Enterprise or custom subscriptions may be subject to different renewal, billing, cancellation, or payment terms specified in the applicable order form, proposal, or signed agreement. Where such terms conflict with this section, the applicable signed agreement will prevail.

Cancellation and Refunds

Subscription cancellations and refund eligibility are governed by the CodePulse Refund & Cancellation Policy.

The Refund & Cancellation Policy forms part of these Terms.

Free Trials and Promotional Access

Where CodePulse provides a free trial, pilot, promotional plan, or limited-access version, additional restrictions or usage limits may apply.

We may modify or discontinue free or promotional access subject to applicable commitments and law.

Free or trial access does not create an obligation for us to maintain any particular feature indefinitely.

Third-Party Services and Integrations

CodePulse may integrate with third-party services such as:

source-code hosting platforms;

repository providers;

identity providers;

AI technology services;

payment processors;

analytics providers;

infrastructure providers; and

related development tools.

Your use of those third-party services may be governed by separate agreements between you and the applicable third party.

We are not responsible for independent third-party services, outages, policies, or changes outside our reasonable control.

Confidentiality

We recognise that Customer Data, including source code and repository information, may contain sensitive and confidential business information.

We will process such data in accordance with our Privacy Policy, applicable contractual commitments, and applicable law.

You are also responsible for ensuring that information uploaded or connected to CodePulse may lawfully be processed.

Enterprise customers may enter into separate confidentiality agreements, NDAs, data-processing agreements, or commercial agreements with Solution Bowl.

Security Responsibilities

We take reasonable measures to protect CodePulse and Customer Data.

However, customers also remain responsible for:

securing their own repository accounts;

protecting OAuth credentials and access tokens;

using strong authentication;

managing organisation users;

removing former employees or contractors;

protecting production credentials;

avoiding hard-coded passwords or secrets; and

maintaining appropriate security practices.

No internet-connected platform can guarantee absolute security.

Service Availability

We aim to keep CodePulse available and operational.

However, access may occasionally be interrupted because of:

planned maintenance;

emergency maintenance;

software updates;

infrastructure issues;

cloud-provider outages;

third-party service failures;

cybersecurity incidents;

internet disruptions; or

circumstances outside our reasonable control.

Unless separately agreed under an enterprise SLA, we do not guarantee uninterrupted availability.

Platform Changes

CodePulse is an evolving technology product.

We may:

add features;

improve functionality;

change interfaces;

modify analysis methods;

update AI functionality;

change usage limits;

replace integrations; or

discontinue features.

Where a material change significantly affects a paid subscription, we will endeavour to provide reasonable notice where appropriate.

Suspension

We may temporarily suspend access where reasonably necessary to:

address security threats;

investigate suspected misuse;

prevent fraud;

respond to legal requirements;

address non-payment;

protect other customers; or

prevent damage to our platform.

Where practical and appropriate, we will attempt to notify the affected customer.

Account Termination

You may stop using CodePulse and request account closure in accordance with applicable account procedures.

We may terminate or restrict an account where there is:

a material breach of these Terms;

repeated non-payment;

fraud;

illegal activity;

unauthorised repository access;

serious security abuse; or

conduct that materially threatens CodePulse, Solution Bowl, or other users.

Termination does not eliminate payment obligations that became due before termination.

Data Following Termination

Treatment of Customer Data following cancellation or termination will be governed by the Privacy Policy and any applicable enterprise agreement.

Customers should export information they require before account closure where such export functionality is available.

Following account termination, Customer Data will be retained or deleted in accordance with our Privacy Policy, applicable legal requirements, and any separately agreed enterprise terms. Certain information may be retained where reasonably necessary for legal, security, fraud-prevention, backup, accounting, or dispute-resolution purposes.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, CodePulse is provided on an “as available” basis.

We do not make warranties that CodePulse will:

operate without interruption;

identify all bugs;

identify all vulnerabilities;

produce error-free analysis;

meet every customer's technical requirement; or

prevent all software failures or security incidents.

Nothing in these Terms excludes statutory rights that cannot legally be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, Solution Bowl (India) Private Limited shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive losses arising from the use of CodePulse.

This may include, where legally permitted:

loss of profits;

loss of revenue;

loss of business opportunity;

loss of goodwill;

loss of anticipated savings; or

indirect business interruption.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

Where a separate enterprise agreement contains negotiated liability terms, that signed agreement will apply to the extent of any conflict.

Indemnity

To the extent permitted by applicable law, you agree to indemnify Solution Bowl (India) Private Limited against third-party claims arising directly from:

your unauthorised use of repositories;

your violation of third-party intellectual-property rights;

unlawful use of CodePulse;

material violation of these Terms; or

Customer Data that you were not authorised to provide or process.

Enterprise and Custom Agreements

Certain customers may enter into:

enterprise agreements;

order forms;

proposals;

statements of work;

NDAs;

data-processing agreements;

service-level agreements; or

other written agreements.

Where a signed written agreement expressly conflicts with these Terms, the signed agreement will prevail for the relevant customer and subject matter.

Governing Law

These Terms are governed by the laws of India.

Jurisdiction

Subject to applicable law and any separately agreed dispute-resolution mechanism, courts having competent jurisdiction in Gurugram, Haryana, India shall have jurisdiction over disputes arising from or relating to these Terms.

Changes to These Terms

We may update these Terms from time to time to reflect:

changes in CodePulse;

new functionality;

legal requirements;

security requirements; or

changes to our business practices.

The updated Terms will display a revised “Last Updated” date.

Where appropriate, material changes may also be communicated through the platform or registered email address.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Entire Agreement

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Cookie Policy, applicable subscription information, and any separately signed agreement, constitute the agreement governing your use of CodePulse.
